Position Overview
Our Client seeks a Capital Markets Associate Attorney to join its world-class Corporate practice in the New York office. This position provides an opportunity to work on high-profile capital markets transactions, including securities offerings, IPOs, and debt financings, while advising clients on critical regulatory and disclosure matters.
Responsibilities
- Advise issuers, underwriters, and other market participants on a broad range of capital markets transactions, including equity and debt offerings, IPOs, high-yield bond issuances, and secondary offerings.
- Draft and review registration statements, prospectuses, offering memoranda, indentures, underwriting agreements, and other transaction documents.
- Provide counsel on securities law compliance, including SEC reporting obligations, corporate governance, and disclosure requirements.
- Collaborate with private equity and M&A teams on capital markets aspects of acquisitions, restructurings, and other transactions.
- Conduct due diligence and identify key legal, regulatory, and financial risks associated with transactions.
- Stay informed on trends, regulatory developments, and market dynamics impacting global capital markets.
- Develop and maintain strong client relationships through excellent communication and responsiveness.
Qualifications
- Juris Doctor (J.D.) from a top-tier law school.
- Admission to the New York State Bar (or eligibility to waive in).
- 3-6 years of experience in capital markets transactions, preferably at a leading law firm.
- In-depth knowledge of U.S. securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC rules and regulations.
- Strong drafting, negotiation, and analytical skills, with attention to detail and precision.
- Ability to manage multiple projects in a fast-paced environment and meet tight deadlines.
- Exceptional interpersonal and communication skills, with a client-focused approach and collaborative mindset.

Salary : $225,000 - $400,000
