Legal Counsel - Full-time

Required Qualifications:

Juris Doctor (J.D.) degree or Bachelor of Laws (LLB) from an accredited law school and active bar license in good standing with any US or Canadian jurisdiction or higher education in Business Law.

At least 3-5 years of experience in a senior legal role with a focus on international business and operations in the Americas, demonstrating strong leadership and people management skills.

An interest in working in an international and challenging environment where you will need to understand not only the legal aspects but also the technical, financial, and commercial aspects of a contract.

In-depth knowledge of contractual and corporate law, commercial transactions, and regulatory compliance in the Americas region, with a strong understanding of cross-border legal and business issues.

Excellent command of spoken and written commercial and legal English and Spanish.
Job Description

Be responsible for drafting, negotiating, performing contract review, and analyzing a broad range of commercial agreements to identify key legal and contractual terms and issues, actively contributing to the analysis, assessment, and mitigation of risks by working closely with internal and external stakeholders to achieve favorable outcomes.

Provide strategic contractual and legal guidance and support to the company's operations and business in the Americas region, including the United States, Canada, and Latin America, aligning legal initiatives with the company’s overall strategic and legal goals.

Support the establishment of future branch offices/companies, notably in Latin America.

Support our project management team for the contract management of complex projects, notably for preparing, drafting, and negotiating amendments, variation orders, claims, and/or settlements.

Stay abreast of changes in laws and regulations affecting the company's operations in the Americas, providing proactive guidance on legal and regulatory developments that may impact the business.

Support the teams in reviewing, managing, and advising about our insurance coverage applicable to the Americas to ensure compliance with our corporate and acceptable customer insurance requirements.

Lead awareness-raising and training sessions, notably for the commercial and project management teams, to ensure the understanding and application of our internal rules, policies, and processes.

Develop legal and contract risk management tools for use by the commercial team during the negotiation of contracts.

Work with lawyers and/or external advisers when needed, particularly to ensure compliance with local requirements and/or on specialized legal topics.

Ensure compliance with the regulations in force (notably but not only with FCPA and other anti-corruption laws), particularly when negotiating and/or managing our contracts with our customers, partners, and business agents.
