GA Telesis sells commercial aircraft parts, has several maintenance and repair facilities for components, composite materials, and engines, and buys, sells, and leases commercial aircraft, engines, and air frames. We are looking for a full-time Paralegal to join our Legal Team.
Responsibilities
- Assist the Legal Department, working with paralegal and attorneys, with reviewing, drafting, and negotiating contracts including for transactions, compliance, non-disclosure, and consulting.
- Coordinate with the company’s sales teams, asset management team, and finance/accounting teams.
- Draft, proofread and edit cover letters, internal and administrative memos, and documents.
- Coordinating condition-precedent materials and manage transaction closings.
- Collect executed documents and create closing binders after transactions are complete.
- Organize, manage, and update legal files for Legal, Trade Compliance, and Contracts personnel.
- Assist with developing/maintaining a contract database with meaningful information for reference by each functional business area.
- Under the direction of the General Counsel, provide legal and corporate support to in-house attorneys in all matters and special projects as needed as well as day-to-day support to the Legal Department.
- Corporate secretarial functions / resolutions / POAs
- Communicate effectively with US and foreign customers and outside counsel as needed.
- Prior experience with an in-house legal department or law firm.
- Prior experience in reviewing and drafting legal terms in a broad range of standard commercial contracts.
- Ability to communicate clearly and effectively, both orally and in writing.
- Strong interpersonal skills with the desire and ability to interact effectively and professionally with attorneys, company officials, and colleagues.
- Ability to provide quality communication to both internal and external contacts regarding matters of a routine nature requiring ordinary tact and courtesy.
- Ability to organize and prioritize work in an organized and professional manner.
- Strong attention to detail, including superior spelling and grammar.
- Ability to work effectively with others in a cooperative manner to accomplish position functions and participate in department efforts as a productive and valued team member.
- Ability to work for multiple attorneys and to satisfactorily manage multiple demands in a timely manner.
- Personal responsibility to work independently, prioritize, and meet deadlines.
- Proficiency with MS Office products (Word, PowerPoint, Excel) and internet research.
- Transaction experience in the aviation industry at a law firm, airline, airframe or engine manufacturer, or commercial aircraft leasing company. Familiarity with aircraft purchase, sale, loan, and lease documents, FAA registry requirements, escrow instructions, and aircraft closing/delivery protocol.
- Bachelor’s degree, or an Associate’s degree in paralegal studies. ABA Paralegal Certification preferred.
- Experience or interest in aviation a plus.
