Remote Crowdsourcing Paralegal Opportunity

We are seeking a highly driven and meticulous Remote Crowdsourcing Paralegal to bolster our team.

Job Overview

This role is integral to supporting our legal team in navigating the complexities of private placements, exempt offerings, and Regulation D (Reg D), in addition to managing corporate state filings. Your expertise will contribute significantly to our operations in a fully remote environment.

Key Responsibilities

• Draft, review, and finalize Private Placement Memoranda (PPMs) and offering documents.
• Ensure compliance with SEC regulations concerning required disclosures and risk factors.
• Prepare financial statements alongside subscription agreements.
• Maintain the accuracy and completeness of offering materials.
• Prepare documentation for Regulation D Rule 504, Rule 505, and Rule 506 offerings.
• Assist in the preparation of Form D submissions to the SEC and coordinate state-level Blue Sky filings.
• Manage documents related to Regulation CF offerings, including Form C filings, ensuring compliance with offering limits and investor caps.
• Oversee corporate state filings, including certificates of incorporation and amendments.
• Manage cap tables through platforms like Carta.
• Ensure adherence to federal and state securities laws for private offerings.
• Monitor and track filing deadlines, including SEC filings such as Form D and Form C.
  
  

Required Skills

• Proficiency in legal writing and drafting, with the ability to create clear, concise, and legally sound documents.
• Strong understanding of securities laws, including the Securities Act of 1933, Regulation D, and Regulation CF.
• Exceptional attention to detail to ensure compliance with legal standards.
• Analytical abilities to interpret complex legal and financial information.
• Proven collaborative experience working alongside attorneys, clients, and regulatory bodies.
  
  

Qualifications

• Paralegal certification from a recognized institution.
• A bachelor's degree; an MBA is preferred.
• A minimum of 3-10 years of experience as a paralegal specializing in securities law, private placements, or capital markets.
• Direct involvement with PPM preparation and exempt securities is essential.
• Familiarity with Form D, Form C, and Blue Sky compliance is required.

• FULLY REMOTE
• Base salary range: \(120K-\)150K, plus bonuses.
