Job Overview
In this role, you will play a crucial part in managing document workflows, specifically overseeing the execution of subscription agreements as well as closing documents. Your contributions will directly support our legal team in areas such as private placements, exempt offerings, and corporate state filings.
Key Responsibilities
- Draft, review, and finalize Private Placement Memoranda (PPMs) and related offering documents.
- Ensure that all required disclosures and risk factors conform to SEC regulations.
- Prepare financial statements and subscription agreements, while maintaining the accuracy and completeness of offering materials.
- Assist in the preparation of documents for Regulation D offerings, including Form D and state-level Blue Sky filings.
- Handle governance tasks such as state-level corporate filings, including certificates of incorporation and amendments.
- Ensure adherence to federal and state securities laws for private offerings, tracking all relevant filing deadlines.
- Proficiency in legal writing and drafting with an emphasis on clarity and legal soundness.
- Strong understanding of securities laws, notably the Securities Act of 1933, Regulation D, and Regulation CF.
- Exceptional attention to detail to ensure compliance with various legal standards.
- Analytical acumen for interpreting complex legal and financial documents.
- Experience collaborating effectively with attorneys, clients, and regulatory bodies.
- Paralegal certification from a reputable institution.
- A Bachelor's degree is required; an MBA is preferred.
- A minimum of 3-10 years of paralegal experience focused on securities law and private placements is essential.
- Direct experience with PPM preparation and exempt securities, as well as familiarity with Form D, Form C, and Blue Sky compliance.
