Job Overview
We are seeking a highly skilled and experienced General Counsel to join our legal team. The ideal candidate will be responsible for overseeing all legal matters within the organization, providing strategic legal advice, and ensuring compliance with applicable laws and regulations. This role requires a deep understanding of various areas of law, including securities law, patent law, estate planning, and personal injury law. The General Counsel will play a critical role in safeguarding the organization's interests while supporting its business objectives.
Duties
- Provide legal counsel on all aspects of financing transactions, including structuring, negotiating, and documenting loan agreements, credit facilities, and securitization deals.
- Oversee regulatory compliance, ensuring adherence to federal, state, and international lending laws and financial regulations.
- Advise on private credit and debt fund investments, including fund formation, investor agreements, and securities law compliance.
- Manage relationships with external counsel and regulatory bodies.
- Draft and review contracts, term sheets, intercreditor agreements, and other financing-related documents.
- Identify, assess, and mitigate legal and business risks associated with lending and investment operations.
- Lead corporate governance efforts, ensuring best practices for board management and fiduciary responsibilities.
- Support business development by providing legal insight into new financial products, partnerships, and investment opportunities.
- Advise on litigation matters, including borrower disputes, collections, and regulatory inquiries.
- Stay current on legal and market developments affecting financial services, lending, and private debt industries.
Experience
- Juris Doctor (JD) from an accredited law school and active bar membership.
- Minimum of 5 years of experience in financial services law, with a strong background in commercial lending, structured finance, and fund management.
- In-depth knowledge of financial regulations, including SEC, OCC, FDIC, CFPB, and state-specific lending laws.
- Experience advising on fund structures, investor agreements, and securities compliance.
- Strong negotiation skills with the ability to manage complex transactions.
- Excellent leadership, communication, and strategic thinking abilities.
- Prior experience in an in-house legal role within a financial institution, private debt fund, or investment firm preferred.
