Gramercy Funds Management LLC is seeking a transactional attorney with experience in secured lending transactions (approximately 5-10 years) to join its growing Legal Department. The role will cover a wide spectrum of responsibilities including supervising all legal aspects relating to the structuring and execution of private credit transactions with corporate and sovereign/quasi-sovereign borrowers in emerging markets. In this role, you will have dual-reporting obligations to the Chief Legal Officer and Legal Head of Transactions & Restructuring, and will work closely with senior investment team members and other business groups within the firm.

Summary Of Position
- Counsel
- Reports to Chief Legal Officer and Legal Head of Transactions
- Advise Legal and investment teams on transactions relating to the business's capital solutions mandate, including secured term loans, asset-backed lending, acquisition financing, construction/project loans, HoldCo/mezzannine facilities, across multiple industries including energy, commodities, infrastructure, financials and real estate, among others, for corporate and sovereign borrowers in emerging markets.
- Manage all legal aspects of Gramercy's capital solutions portfolio investments:
- Managing status, timeline and execution of multiple active transactions in close coordination with outside counsel and the deal team
- Assisting in collateral and tax structuring initiatives
- Reviewing and negotiating legal aspects of key legal documentation, including engagement letters, commitment letters, credit agreements, and security agreements
- Reviewing and managing issues lists and assisting in resolving open legal matters
- Working with the Legal Head of Transactions & Restructuring and the investment team on any potential amendments and/or restructurings related to such transactions
- Serve as an integral Gramercy point of contact with external legal counsel (NY/UK and local counsel), tax advisors, or other advisors for such private credit transactions.
- From time to time, support other investment verticals of the firm in addition to Capital Solutions, including liaising with and directing outside counsel on transactions and other projects.
- Manage the intake, negotiation, and execution of investment-specific confidentiality agreements.
- Support business platform and operations:
- Assist company with strategic initiatives including new financing platforms and initiatives;
- Assist with third party vendor and confidentiality agreements; and
- Assist with various corporate governance matters.
- Provide advice with respect to regulatory and compliance developments in the finance space.
- Manage all legal aspects, in coordination with outside counsel and investment team members, on the negotiation, execution and monitoring of fund financings (i.e., subscription and NAV facilities).
- JD degree from a top-tier academic institution.
- Admitted to practice law in New York or one or more relevant jurisdictions.
- 5-10 years of relevant experience, including secured transactions or restructuring experience at a top-tier law firm.
- Experience with complex lending transactions.
- Experience in cross-border lending and Latin American transactions is a strong plus
- Strong writing skills.
- Strong transactional and negotiating skills.
- Outstanding organizational skills, including ability to manage multiple active matters in a fast-paced environment.
- Ability to effectively and clearly identify legal and business issues and communicate clear decision points to management.
- Language skills: Fluency in Spanish (including ability to negotiate, review and/or draft legal documents) a strong plus
