We are seeking a highly motivated and experienced transactional attorney to join our Orange County based law firm.
Responsibilities :
- Experience in drafting and revising commercial leases and purchase and sale agreements;
- Possess a strong background in title and survey review, and closing purchase and sale transactions;
- Advise clients regarding entity formation, joint ventures, compliance, and record maintenance;
- Prepare and negotiate business, broker and consultant engagement letters & contracts;
- Draft and negotiate confidentiality agreements and letters of intent;
- Manage data rooms and the due diligence process;
- Negotiate and document third-party financing;
- Prepare and finalize documents for mergers, acquisitions, and reorganizations;
- Draft various types of legal opinions in connection with real estate closings;
- Oversee closings of multi-property portfolios.
