TGRC are representing a fast growing Independent Power Producer (IPP) specializing in utility-scale solar project development. The team is dedicated to developing, financing, and operating utility-scale and distributed generation solar projects across the US. As they scale, they seek a dynamic and business-oriented Legal Counsel to support expanding operations.About the Role : The Legal Counsel will be responsible for overseeing the company’s legal matters, ensuring compliance with regulatory requirements, and providing strategic legal guidance to support business growth. The ideal candidate will have a strong background in energy law, project finance, and corporate transactions, with a preference for experience in renewable energy.Responsibilities : Draft, review, and negotiate contracts related to project development, power purchase agreements (PPAs), EPC (Engineering, Procurement, and Construction) agreements, O&M (Operations & Maintenance) agreements, and financing documents.Provide legal advice on corporate governance, risk management, and compliance with federal, state, and local energy regulations.Support project development activities, including site control agreements, permitting, and regulatory filings.Assist with M&A transactions, due diligence, and structuring of project finance arrangements.Liaise with external counsel as needed to manage litigation, disputes, and specialized legal matters.Monitor and interpret regulatory and policy developments affecting the solar energy sector.Support internal teams, including finance, operations, and development, with legal guidance to enable efficient decision-making.Oversee corporate legal matters, including entity formation, corporate structuring, and governance.Qualifications : Juris Doctor (JD) degree from an accredited law school.Admission to the Texas State Bar (or ability to obtain admission promptly).5 years of legal experience, preferably in energy, infrastructure, or project finance.Experience in renewable energy transactions, including PPAs, project finance, and regulatory compliance.Strong negotiation, drafting, and problem-solving skills.Ability to work independently in a fast-paced, entrepreneurial environment.Excellent communication and interpersonal skills, with the ability to collaborate across teams.Preferred Qualifications : Experience working in-house at a renewable energy company or within a law firm specializing in energy law.Familiarity with ERCOT market regulations and Texas energy policies.Understanding of tax equity and debt financing structures for solar projects.#J-18808-Ljbffr
