Position Summary:
GreenWaste is seeking to fill the position of Senior Legal Counsel to provide legal advice and services as required by the Company. Counsel will actively engage with members of the Company’s senior leadership team in the support of all matters and services. This position may include legal specialization such as mergers and acquisitions, commercial transactions, government contracting, litigation, regulatory & compliance, corporate governance, marketing, employment law and labor relations. The ideal candidate is a strategic and business-minded attorney with strong analytical skills, ability to navigate complex legal issues independently, and creatively problem-solve to resolve complex issues in innovative and practical ways.
Essential Functions and Responsibilities:
Prepares and negotiates various types of contracts and other commercial transaction documents, including related to municipal and private customers, real estate access, purchase and lease, M&A, subcontractor and vendor, consulting, non-disclosure, LOIs, CBAs, MOUs, feedstock, processing and disposal, procurement, design-build, engineering and construction.
Maintain the digital contract workflow database and repository (Ironclad), update and create playbooks and contract templates, revise metadata/data entry and provide status updates on and review agreements for compliance.
Provides legal advice and counsel to the CEO, COO, CFO, CDO, GC, VP Strategy & Execution, VP IT, VP HR, VP Safety, VP Sales & Marketing, VP Sustainability, VP of Post-Collections, VP of Collections, GMs and their direct and indirect reports on all aspects of the business, enterprise actions, strategies, initiatives, and corporate and strategic legal matters, as applicable, that may impact the Company’s services and products, including waste collections, recycling, C&D processing, composting, anerobic digestion, landscape materials, commodities, debris boxes and related services to commercial, industrial, municipal and residential customers.
Supports legal aspects of strategic transactions and initiatives, including mergers, acquisitions, joint ventures, investments and divestitures, including coordinating antitrust and CFIUS filings
Provides advice and counseling with respect to environmental, permitting, insurance and regulatory proceedings.
Provides clear and concise advice and counseling to internal operations and corporate clients, including support on business development and growth, marketing, tax, licensing, real estate, employment, labor, intellectual property, sustainability, governance and compliance, internal policies and procedures and operations.
Monitors compliance with applicable laws and regulations and proactively identifies and manages existing and emerging legal risks.
Proactively monitors and analyzes developments in both internal and external environments and recommends appropriate legal or regulatory strategies.
Research legal, legislative and regulatory compliance topics, draft policies and processes, update contract templates, and provide training on the same.
Coordinate and manage outside counsel on litigation or counseling matters, enter matters in Legal Tracker as applicable, review and track legal invoices for the life of each matter, ensuring compliance with applicable billing guidelines.
Champion legal department processes and procedures and assist in developing employee training programs.
Identify and recommend process improvements, including automation efficiencies, response time reductions and increased service potential.
Assist the General Counsel with other matters as needed.
Track goals against metrics.
Stay current with industry trends, benchmarks and best practices.
Other related duties as assigned.
Knowledge, Skills, and Abilities:
Substantial experience designing and/or working with Ironclad or similar contract lifecycle and management database.
Experience working in and knowledge of the waste or recycling industry.
Experience with CA regulatory environment.
Experience working on municipal or government contracts with public RFP procurement processes.
Proficient at commercial transactions and contract redlines.
Experience working in-house.
Experience at a large, international law firm.
Proficiency using digital contract management software, virtual data rooms, and electronic billing.
Strong writer and editor.

Qualifications:
J.D. from an accredited law school is required.
State Bar of California License or licensed in another US jurisdiction and able to be CA registered in-house counsel within 6 months of employment.
A minimum of 6 years of experience as an attorney.
Language Skill:
Proficiency in English. [Prefer additional proficiency in Spanish.]
Physical Demands:
Prolonged periods sitting at a desk and working on a computer.
Must be able to lift up to 25 pounds at times.
Work Environment:
Typical work week is Monday through Friday. May include work weekday evenings or weekends as needed. Work may include traveling throughout the Northern California area. Typical office environment, with occasion to visit facilities and other environments. Ability to work in setting where time constraints and timely communication with management is crucial.
Salary : $180,000 - $220,000
