The attorney will be a critical player in driving Signant’s business model and executing on its mergers and acquisitions growth strategy. Moreover, he / she will interact frequently with Signant’s business leaders to help communicate and advance transactions. The remaining time will be spent on a mixture of litigation management, regulatory and compliance issues, commercial contracts, technology licenses, HR / employment, corporate governance, data protection and real estate issues.Responsibilities Interact with and support various groups across the company, with a primary focus on M&A, joint ventures, investments, corporate secretarial and corporate governance and securities matters.Provide support for M&A and joint venture transactions, including working with members of the corporate development team on deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution.Provide legal support with respect to corporate governance matters relating to Signant Health, including serving as an assistant secretary to one or more Board committees, supporting the Board of Directors and senior management in preparing for and assisting with the administration of Board and committee meetings, and supporting investor and other external stakeholder engagement.Provide support on real estate, corporate, commercial and other transactions and special projects.Conduct or coordinate research into legal questions and issues that are brought up by the business as we seek to solve problems in new ways.Draft, negotiate, and interpret contracts across the wide array of work that we are doing, whether licensing related, partnerships, or technology agreements.Provide timely and practical legal advice to the company’s business leaders, including proactively identifying key issues and providing advice and counsel to the company's senior leaders.Develop and maintain strong partnerships with internal stakeholders and executive teams to influence decision making and achieve successful business outcomes.Advise on a broad range of strategic legal and business matters.Serve as a resource to all members of the legal team in addressing corporate issues as they impact or apply to their areas of responsibility.Assist, collaborate, and lead as directed on Legal and Enterprise Affairs (LEA) and company projects and other tasks as directed.Collaborate and build positive, productive relationships with team members at all levels across LEA and corporate functions.Manage and develop direct reports within LEA as may be directed.Work with and direct outside counsel on advice, research, filings, disclosures, and other projects as needed.Decision Making and Influence Self-motivated, creative problem-solver, trusted advisor, with the ability to work independently, prioritize multiple projects and work effectively in a fast-paced, results-oriented environment.Strong work ethic and high ethical standards.Extremely comfortable providing counsel directly to senior business leadership on both legal and business issues.Strong written and verbal communication skills, including the ability to present complex issues in a clear and concise manner.Willingness to collaborate, learn, share knowledge, respond quickly to urgent matters and execute proactively.Strong analytical and reasoning skills required in connection with researching legal issues, assessing impact on business processes and making recommendations.An effective team player with the ability to work with others and to coordinate complex projects across various corporate functions.Business-minded with strong creative problem-solving abilities and exemplary strategic / project management skills.Able to make high-judgment assessments of risk while effectively dealing with ambiguity.Provide strategic thinking to help the business to mitigate potential risks.Take effective action even without complete information and roll up their sleeves in a typical start-up fashion to help the business with legal and non-legal issues.Client-service oriented with ability to think big while also paying great attention to detail on tight deadlines.Able to prioritize appropriately and easily switch gears without sacrificing quality of work, maintain a high level of professionalism, integrity, and discretion in handling confidential information, and have the ability to work well with people at all levels inside and outside Signant Health.Knowledge Education and Licensure Juris Doctor (J.D.) and membership in one state bar or equivalent.Exceptional written and verbal communication skills, as well as demonstrated proficiency in working closely with and advising senior business leadership.Outstanding legal and business judgment and strong analytical skills, even in ambiguous situations.Experience A minimum of 4 years of legal experience (with several years at a major multinational law firm or in-house experience).Significant experience with M&A, securities and corporate governance issues.Familiarity and experience with intellectual property.Familiarity and experience with SAAS licensing and technology agreements.Job Function : ALG-Legal Generalist / Multidiscipline#J-18808-Ljbffr
