What are the responsibilities and job description for the Corporate Governance and Compliance Analyst - On-site or Hybrid Opportunity position at GuideOne Insurance Career Center?
As the Corporate Governance and Compliance Analyst, you will be responsible for providing substantive support, analysis and assistance to the Legal Department primarily with respect to corporate governance, including entity management, and corporate compliance. You will work closely with and under the general supervision of the General Counsel and Associate General Counsel on a variety of matters, including but not limited to, monitoring the compliance deliverables and deadlines, drafting corporate resolutions, organizing annual meetings, managing subsidiary board materials, company licensing and secretary of state compliance, market conduct exams, complaint responses and trends and data calls.
Accountabilities:
- Maintain and monitor filing due dates and processes across multiple GuideOne companies; prepare or coordinate preparation of required filings.
- Identify opportunities to improve existing processes and create efficiencies in the company’s approach to compliance monitoring and preparation of necessary filings.
- Review, analyze, and disseminate relevant state and federal legislative changes impacting GuideOne.
- Assist attorney with reviewing documents as requested.
- Draft corporate governance documents, including subsidiary resolutions/consents; maintain corporate records, including original board materials.
- Assist with preparation of annual proxy mailing and annual meeting materials.
- Maintain current officer and director NAIC biographies.
- Maintain bankruptcy and foreclosure log.
- Prepare and manage annual corporate filings, including certificate of authority (COA) renewals and other licenses in all states & DC for multiple GuideOne companies.
- Assist with compilation and filing of state reports, including annual Form B, C and F filings.
- Assist with completion of UCAA forms required for additional lines of business.
- Complete and file quarterly and annual SIU state reports.
- Coordinate with leaders across departments to obtain and understand the information required to complete filings accurately and completely, including coordination with TMG Insurance Services as GuideOne’s strategic service provider.
- Coordinate responses to market conduct exams, financial exams, audits, insurance department surveys, data calls, informal and formal complaints, and other regulatory inquiries.
- Receive and monitor for a timely response complaints received from state regulators or directly from the policyholder/claimant and captures complaint documentation and information.
- Assist with quarterly fine review and maintain corporate fines & penalties spreadsheet.
- Assist with compiling documents for annual corporate insurance policy renewal, administering payments and maintaining spreadsheet to track renewal payments.
- Compile all necessary documentation for company subpoena and other information requests.
- Perform other related duties as assigned.
