Assistant General Counsel - Corporate

Location: Salt Lake City

Experience: 7-15 years PQE

The Ideal Candidate would bring:

• Experience in Corporate, Restructuring and M&A Law.
• Currently working in-house in the Technology or Manufacturing sector.

Salary: $225,000 - 275,000 fixed per annum, 20% bonus.

Position Overview:

The Assistant General Counsel will be integral in overseeing the company’s legal operations, offering strategic legal counsel, and collaborating with the Chief Legal Officer (CLO) to lead the legal department.

Primary Responsibilities:

• Assist the Chief Legal Officer in managing the legal team and overseeing all legal aspects impacting the company.
• Provide expert advice on a broad spectrum of legal and business matters, including corporate governance, M&A, commercial transactions, restructuring and intellectual property.
• Develop and execute legal strategies that support the company’s business goals while minimizing potential legal risks.
• Ensure that the company remains in compliance with all relevant laws and regulations, keeping abreast of the latest industry legal and regulatory developments.
• Prepare, review, and negotiate complex commercial contracts with diligence and attention to detail.
• Lead and mentor the legal team, fostering career development and professional growth within the department.

Basic Qualifications:

• Juris Doctor (JD) degree from a highly regarded law school.
• At least 7 years of legal experience, with a solid background in top-tier law firms or corporate legal departments in large private and public companies.
• Proven experience in managing complex legal issues and providing strategic legal counsel.
• In-depth knowledge of corporate law, governance, regulatory compliance, and risk management.

Preferred Qualifications:

• Experience working with technology or manufacturing companies.
• Previous experience in a senior legal position with leadership and management responsibilities.
