Essential Duties:
Drafts, reviews and revises a variety of commercial agreements including non-disclosure agreements, license agreements, consulting agreements, procurement agreements, subcontract agreements, teaming agreements, and terms and conditions of sale and purchase
Develops and implements internal policies relating to regulatory and other compliance matters especially those specific to government contracting; assists with meeting ongoing contractual and regulatory obligations; provide training and internal communication on a variety of compliance topics
Develops, implements and manages the Company’s corporate compliance program, including training and communications
Advises the Company’s contracts team on issues of contractual interpretation and customer disputes
Assists supply chain in the drafting and negotiation of procurement agreements and advise the team on legal issues related to supplier and subcontractor performance
Assists in the management of the Company’s intellectual property and real estate portfolios
Assists in the management of the Company’s risk management and insurance program
Supports M&A transactions including participating in due diligence and definitive agreement negotiation
Supports the Company’s international contracting activities including due diligence related to foreign partners, FCPA compliance, drafting international representative and reseller agreements, and advising international sales team on contracts with foreign governmental customers
Educates self and business partners on legal developments affecting business and provide innovative strategies to address those developments
Education/Experience/Other Skills & Abilities:
Juris Doctor required with strong academic credentials
4-7 years of relevant experience post bar admission, must be admitted to practice in at least one state
Candidate must be able to work under the limited supervision of the VP & Head of Legal, Compliance & Contracts
Experience working on a variety of corporate and commercial matters in a law firm, in-house, or government setting is required
Experience working for a defense contractor or in private practice on government contracting matters is a plus
This position requires access to or use of export-controlled technical data or technology controlled by the International Traffic in Arms Regulations (ITAR) or Export Administration Regulations (EAR). Accordingly, applicants must be U.S. Persons or must be eligible to obtain the required export authorizations
from the U.S. Department of State or U.S. Department of Commerce. A U.S. Person is defined as a U.S. Citizen, U.S. Permanent Resident, or a person who is a protected individual under the Immigration and Naturalization Act (8 U.S.C.1324(b)(a)(3).
