This practice covers a wide range of registered investment company structures, including mutual funds, closed-end funds, business development companies, tender offer funds, interval funds, exchange-traded funds, unit investment trusts, and private investment vehicles
Responsibilities
In this role, you will provide counsel to investment advisers and broker-dealers on various issues affecting these businesses from an asset management standpoint. You'll focus on the formation of investment vehicles and addressing the unique legal challenges within the investment management industry.
- Advise clients on matters related to registered investment companies including, ETFs, mutual funds, interval funds, and tender offer funds
- Advise clients on compliance with securities laws
- Draft documents including shareholder reports, prospectuses, and statements of additional information
- Prepare SEC filings for fund clients
- Assist with matters related to 15(c) advisory contract process
- Compile fund board meeting materials, including memoranda and board resolutions
- Attend fund board meetings; take board meeting minutes
- Prepare registration statements on Form N-14 for fund reorganizations and private fund formation materials
- Draft due diligence memoranda in mergers and acquisitions transactions
