Overview
THE ROLE :
Herbalife International of America, Inc. is seeking a candidate for the position of Director (Legal), Corporate Governance, Commercial Transactions and IP Protection. The Director (Legal) will work on various matters in the areas of regulatory and compliance, intellectual property and product development. The Director (Legal) will advise on various subjects relating to the Company’s Marketing Plan, intellectual property protection and promotion, and third-party vendor and supplier contracting. This role will require liaising with regional offices and departments of the Company's affiliates.
HOW YOU WOULD CONTRIBUTE :
The Director will adopt a “client-oriented” and solution driven approach in the delivery of legal services. The Director must be willing to proactively engage business units to solve immediate legal issues and to develop long-term strategic objectives through creative, practical, and effective counseling that will promote stable and strategic business growth, including but not limited to thorough understanding of contemporary consumer and business environment / preferences. The Director should be familiar with and stay abreast of U.S. and international laws and best practices relating to areas of corporate governance, commercial transaction, regulatory compliance, intellectual property protection and promotion :
- Review, develop and implement strategies relating to the protection of and compliance with the Company’s business operations and assets, including the Company’s corporate structure / governance, intellectual property, its sales and marketing plan, manufacturing, products, contractual right / obligations etc.
- Manage a large volume of inbound and outbound contracts and work closely with key business units to guide contracts through review, negotiation and signing.
- Manage and resolve legal issues that arise in existing commercial relationships.
- Advise internal teams on business, legal risks in compliance and contracts.
- Coordinate Board of Directors meetings, serving as meeting secretary including preparing meeting minutes and serving as a liaison with Directors.
- Coordinate and supervise shareholder meetings.
- Monitor various corporate governance practices and policies.
- Coordinate and collaborate with regional offices and other departments.
- Provide transaction support for M&A, finance, tax, and corporate restructuring transactions.
- Review and advise on intellectual property and competition law issues relating to the Company’s Marketing Plan, including its promotion and protection.
- Other projects as needed to support the broader legal function.
