Job Purpose
Reporting to the Chief Legal Officer, the Vice President & Assistant General Counsel involves leading and managing contract negotiations and administration for complex business transactions, including IT, OEM, National Sales, and Procurement contracts. Responsibilities include reviewing, negotiating, and preparing various commercial documents and providing strategic legal advice to business teams. Additional responsibilities include managing and providing strategic legal advice with respect to the Company’s growing portfolio of Intellectual Property, including trademarks and patents developed internally as well as acquired through acquisitions.
Additionally, the role includes mentoring junior legal staff, conducting internal training, and promoting continuous improvement within the team. The candidate will also contribute to corporate governance and compliance matters, draft and review policies, advise on cybersecurity and privacy matters, and monitor regulatory matters.
Managing relationships with external counsel and providing strategic legal support to senior management, Sales, Operations, Fleet Procurement, and other departments are critical aspects of the role, ensuring effective business solutions and supporting key business initiatives.

Your Role:
- Contract Negotiations and Management:
- Lead the evaluation, preparation, and negotiation of a broad range of complex business transactions, including IT, OEM, SW Licensing, SaaS, and a high volume of various procurement contracts.
- Review, negotiate, and prepare all forms of commercial and business transaction documents such as domestic and international sales, supply, distribution, non-disclosure, confidentiality, consultant, and vendor agreements.
- Provide strategic advice to business teams on contract strategy and related legal matters.
- Leadership and Development:
- Mentor and develop junior legal staff, fostering a collaborative and high-performance culture within the Legal Department.
- Conduct internal training sessions and provide legal guidance on issues within areas of responsibility.
- Promote continuous improvement and professional development within the team.
- Corporate Governance and Compliance:
- Draft and review corporate policies and procedures to ensure compliance with legal and regulatory requirements.
- Monitor and advise on regulatory matters that may impact the business of a public company.
- Assist in general business due diligence and provide legal advice on general business topics typical for an innovative, growth-oriented public company.
- External Counsel Management:
- Manage relationships with external counsel, ensuring efficient and effective use of resources in areas of responsibility.
- Oversee the quality and cost-effectiveness of legal services provided by external counsel.
- Strategic Legal Support:
- Provide strategic legal support to senior management and other departments, facilitating good business solutions to complex issues.
- Participate in cross-functional teams to support business initiatives and projects.
- Law degree (Juris Doctor) from an accredited law school is required.
- Admission in good standing to at least one State Bar with the ability to obtain an authorized house counsel license in Florida.
- 12 plus years of demonstrated experience in complex contract negotiations, particularly in IT, OEM, and procurement in a corporate in-house environment.
- Strong leadership and team development skills, with a proven ability to mentor and develop junior legal staff.
- Excellent communication and interpersonal skills, with the ability to effectively interact and build relationships with employees at all levels of the business.
- Experience advising and collaborating with business partners.
- Capable of strategic thinking, offering innovative and practical assessments, and delivering effective business solutions to complex challenges.
- Ability to analyze actual risks and mitigation strategies of complex transactions to streamline negotiations and drive to successful closure.
