The Stock Plan Administration Lead will have principal responsibility for the day-to-day oversight and operation of the Honeywell global stock incentive plan, as well as monitoring and reporting on all areas of equity award administration.
In this role, you will be responsible for the day-to-day oversight and administration of our employee and director equity programs and partner with key stakeholders in our Finance, Accounting, Legal and HR teams. You will be responsible for the third-party relationships with stock plan service providers (currently Morgan Stanley and Ernst & Young) and will work closely with executive and business level compensation teams to ensure effective delivery of related stock plan services. You will also provide project support to other initiatives in the Executive Compensation function.
Key Responsibilities:
· Responsible for the stock administration function, including improvements in processes, implementing enhanced automated solutions, and evaluating service providers.
· Ensure accurate and timely recording of new equity awards, exercises, terminations and releases for all employees and other equity holders.
· Manage associated vendor relationships (currently Morgan Stanley, E&Y for global taxation).
· Work with global payrolls and service provider to ensure appropriate tax withholding and reporting to payroll.
· Collaborate with Finance, Legal, Human Resources and the Compensation & Benefits COE on management reporting, compliance, grant processes and related requirements.
· Support the development and implementation of training material and tools to educate employees on long-term incentives and the valued delivered.
· Perform timely reconciliations of data on a monthly, quarterly, and yearly basis between Stock Administration, Finance, HR, payroll, transfer agent, etc.
· Ensure daily movement of shares required to settle prior day transactions.
· Team with payrolls and local HR on periodic reporting of equity-based transactions to tax authorities, and to allow preparation of year-end tax statements.
· Prepare required equity award tables to be included in the annual proxy statement sent to company shareholders.
· Conduct benchmarking activities and drive application of best practices.
· Work with internal and external auditors and Finance for periodic reviews, year-end audits, as well as ensure that internal controls are in place and procedures are followed to satisfy periodic review of compliance with SOX.
· Point of contact for employee inquiries and requests regarding equity programs and equity transactions.
· Prepare reports for business partners and respond to ad-hoc data requests on a timely basis.
· Assist with the preparation of equity-related analysis and exhibits for the Board and Compensation Committee.
· Assist Legal team in SEC reporting and 10b5-1 plans and process trades from trading plan brokers.
· Support the Executive Compensation Team on various projects as assigned.
