This role offers the opportunity to work closely with market-leading clients on securities transactions, public offerings, and corporate governance issues.In This Position, You Will : Represent issuers and underwriters / placement agents in capital markets ('33 Act) transactions.Advise public companies on '34 Act filings, compliance, and corporate governance matters.Draft, review, and negotiate securities offering documents, SEC filings, and shareholder communications.Collaborate with clients to ensure seamless compliance with regulatory requirements.Provide exceptional legal guidance during IPOs, private placements, and follow-on offerings.Ideal Candidate Profile Experience and Expertise 3 years of experience representing issuers and underwriters / placement agents in securities and capital markets transactions.Proficiency in '33 Act and '34 Act regulatory matters, filings, and corporate governance.Educational Credentials Juris Doctor (JD) or LLM from an ABA-accredited law school.Admission or eligibility for admission to the New York Bar.Core Competencies Legal Acumen : Strong skills in legal research, drafting, and interpretation of complex regulations.Critical Reasoning : Ability to provide insightful legal analysis and manage complex securities-related matters.Collaboration : Proven ability to work in team environments and contribute to a collegial culture.Client Focus : Strong commitment to understanding and addressing client needs with precision.Additional Attributes Exceptional organizational skills and the ability to handle multiple transactions simultaneously.Strong written and oral communication skills, with the ability to simplify complex legal concepts for clients.High level of professionalism and attention to detail.Why Consider This Role?
