The Role : Lateral Associate - Corporate - Restructuring & Special Situations Finance | Dallas, TX
We are seeking a highly qualified associate to join a renowned Finance and Business Restructuring & Reorganization team in Dallas, TX. This role provides the opportunity to work on complex and high-profile financial transactions, representing top-tier clients in pivotal restructuring and special situations financings.
Practice Expertise and Focus
This opportunity is with a firm globally recognized for its leadership in finance and restructuring matters. Highlights include :
- Liability Management Transactions : Expertise in complex restructurings, including DIP financings, bankruptcy exit financings, and other special situations financings.
- High-Profile Representations : Representing hedge funds, CLOs, private equity funds, and financial institutions in Chapter 11 cases and out-of-court restructurings.
- Collaborative Leadership : Working seamlessly with the firm's Global Finance and Business Restructuring & Reorganization teams to deliver innovative and strategic solutions.
In this position, you will :
Advise Clients : Represent creditors and borrowers in connection with liability management transactions, DIP financings, and bankruptcy exit financings.Draft Key Documents : Draft and negotiate complex financing agreements, including loan agreements, security agreements, and other critical transactional documents.Collaborate Across Teams : Work closely with multidisciplinary teams to provide comprehensive solutions for restructuring and special situations.Navigate Complex Cases : Handle high-stakes restructuring matters for top-tier clients, ensuring alignment with their strategic goals.Build Expertise : Gain unparalleled exposure to both in-court and out-of-court restructuring transactions.Ideal Candidate Profile
We are looking for candidates who bring the following qualifications and attributes :
Experience and Expertise
Experience Level : Law school graduate from 2016 to 2019 , with substantial experience in liability management transactions, DIP financings, and special situations financings.Industry Knowledge : Deep understanding of Chapter 11 cases and out-of-court restructurings.Educational Credentials
Juris Doctor (JD) : Degree from a top-tier, accredited law school with excellent academic performance.Bar Admission : Active membership in good standing or eligibility to waive into the Texas Bar.Core Competencies
Legal Acumen : Strong skills in drafting, negotiating, and managing complex financial transactions.Strategic Thinking : Ability to develop innovative solutions to complex restructuring and financing challenges.Collaboration and Leadership : Proven capacity to work collaboratively with multidisciplinary teams and mentor junior associates.Client Focus : Commitment to delivering tailored legal solutions to sophisticated clients.Additional Attributes
