Job Summary:
We are seeking a highly skilled and detail-oriented General In-House Legal Counsel to join our legal team. The ideal candidate will be responsible for drafting, reviewing, negotiating, and managing a variety of corporate contracts and agreements. This role requires extensive knowledge of corporate law, risk assessment, and contract compliance. The General In-House Legal Counsel will work closely with internal stakeholders, ensuring that all business transactions are legally sound and align with company policies.
Key Responsibilities:
- Draft, review, and negotiate various corporate agreements, including but not limited to vendor contracts, service agreements, partnership agreements, NDAs, and licensing agreements.
- Provide legal advice and guidance on contractual matters, ensuring compliance with federal, state, and international regulations.
- Assess contract risks and develop strategies to mitigate potential liabilities.
- Work collaboratively with business units to understand their contractual needs and provide tailored legal solutions.
- Maintain and update contract templates and legal policies to reflect changes in laws and business practices.
- Conduct legal research and stay informed about corporate law developments and best practices.
- Assist in dispute resolution, contract enforcement, and litigation matters as necessary.
- Ensure proper contract execution, storage, and retrieval for future reference.
Qualifications & Skills:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with the state bar.
- 37 years of experience in corporate contract law, preferably in a law firm or inhouse legal department.
- Strong understanding of corporate governance, risk management, and contract negotiation.
- Excellent analytical, problemsolving, and communication skills.
- Ability to work independently while managing multiple projects in a fastpaced environment.
- Proficiency in legal research tools and contract management software.
- High attention to detail and strong organizational skills.
Preferred Qualifications:
- Experience in engineering, manufacturing or technology
- Familiarity with international contract laws and crossborder transactions.
- Certification in contract management or relevant areas is a plus.
