Job Summary:
ImageFIRST seeks an experienced General Counsel who will serve as the chief legal officer and advisor to the executive team, overseeing all legal matters for the company. Reporting to the Chief Administrative Officer, the ideal candidate will have extensive experience leading companies through complex legal and regulatory issues and will be an integral part of shaping our company’s growth, protecting its interests and ensuring compliance across all business functions.
Responsibilities & Qualifications:Legal Strategy and Oversight
- Develop and implement pragmatic and high-quality legal strategies aligned with our business
- Provide comprehensive oversight and guidance on legal matters, ensuring compliance with

Business Strategy and Transactions
- Advise on mergers, acquisitions, joint ventures, and other strategic transactions.
- Provide support in assessing new business relationships, guiding the team in intricate deal
- Lead efforts in drafting, reviewing, and negotiating contracts, including partnership, licensing,
Risk Management and Compliance
- Build and maintain strong relationships with external legal advisors, auditors, and regulators.
- Develop and implement risk management strategies to minimize legal exposure.
- Ensure compliance with evolving laws and regulations at local, state, and federal and international levels.
Employment Law
- Manage and/or partner with outside counsel on employment law related matters.
Collaboration with Outside Counsel
- Select, engage, and manage relationships with external legal counsel.
Qualifications:
- Juris Doctor (JD) from an accredited law school and membership in good standing with a state bar.
- Previous experience as a General Counsel.
- 15 years of legal experience ideally within public and private companies.
- A strong generalist with a wide range of business law experience, including mergers and acquisitions, equity and debt financing, employment law, and litigation.
- Familiarity with venture capital, private equity, or public market financing structures.
- Proven track record of successfully leading private companies through an IPO process, including working with investment bankers, auditors, and external counsel.
- Strong knowledge of employment & securities laws and regulations.
- Deep understanding of corporate governance, risk management, and general commercial law.
- Excellent communication and interpersonal skills, with the ability to provide clear, practical legal advice to non-legal executives.
- Strong leadership abilities with a demonstrated capacity to build and manage a high-performing legal team.
- Experience building and leading an internal team on compliance, document control, internal process and risk management.
- Experience in a fast-paced, high-growth company environment, ideally within the healthcare industry.
