Our client, an AmLaw 100 technology & life sciences firm, is seeking an Associate Attorney to join their thriving Executive Compensation & Employee Benefits Practice Group in Silicon Valley, San Francisco, Santa Monica, or New York. This is an exceptional opportunity to work on sophisticated compensation matters, including M&A transactions, tax and securities law compliance, and equity incentive programs for leading technology and Fortune 500 companies.
Candidate Profile:

JD from a top-tier law school with a strong academic record.

Bar admission in the relevant jurisdiction, or eligibility to sit for/waive into the next bar exam.

1–3 years of substantive experience handling executive compensation matters, with a focus on M&A transactions, tax, and securities law issues.

Significant deal experience, including advising on compensation and benefits issues in mergers, acquisitions, and financings.

Excellent drafting, negotiation, and client advisory skills.
Key Responsibilities:

Advise clients on executive compensation, employee benefits, and equity incentive programs in the context of corporate transactions, including mergers and acquisitions.

Navigate complex tax and securities law issues related to compensation structures.

Collaborate with corporate, tax, and employment teams to provide comprehensive legal counsel to clients.

Conduct due diligence and risk assessment related to compensation and benefits in transactional matters.
