Summary
The Legal Project Manager is a key member of Indicor’s Legal Department and will report directly to the Legal Operations Manager. This key role will assist the Company’s growing, agile, and fast-paced legal team. This position will interact with all levels of management at both the corporate and business unit level. The right person for this role possesses unwavering commitment to ethics and integrity, is a team player, and has excellent judgment. This position requires a strong understanding of corporate entity structures and related documentation. Outstanding organizational and time-management skills are required, including the ability to balance multiple, competing priorities and meet deadlines. A strong commitment to collaboration and ability to work in a team environment is essential. The individual should be a motivated self-starter and be able to work independently.
Primary Responsibilities
- Monitor and manage corporate records and maintain the company's entity database.
- Assist in all areas of corporate governance, including the preparation and filing necessary documents for entity formation and maintenance, annual reports, and other state filings.
- Assist with periodic reporting requirements, including corporate entity changes, officer changes, M&A, and divestitures.
- Analysis and implementation of compliance requirements in various jurisdictions globally. Strong international corporate governance experience is preferred.
- Analyze, review and respond to Know Your Client (KYC) requests from internal and external parties.
- Prepare and file annual state and foreign filings for the company's subsidiaries and support the management of the company's subsidiaries with related governance matters.
- Assist tax and finance team and prepare internal intercompany promissory notes, loan agreements and corresponding authorizing resolutions.
- Work cross-functionally with global business partners and legal subject matter experts.
- Any other duties, as assigned.
Qualifications
- Bachelor's degree and a paralegal certificate from an ABA-approved program.
- 6-7 years' experience in a corporate law firm or in-house legal department.
- 3 years' experience forming and maintaining domestic and international legal entities.
- North Carolina Notary Public.
- Strong knowledge of corporate law.
- Experience with corporate transactions, including mergers and acquisitions.
- Experience supporting multiple legal team members across various subject matters.
- Strong computer skills including MS Office. Experience with Legal Tracker e-billing platform is also preferred.
- Strong drafting and proofreading skills.
- Ability to work independently and manage multiple projects simultaneously.
- Strong interpersonal and communication skills.
