The Contracts Specialist reports to Associate General Counsel (AGC) and is responsible for providing legal and contract support to the Company and its subsidiaries. The Contracts Specialist assists the Corporate Contracts Administrator and the Legal Department with managing the Company’s contract database and processes for contract review and signature, communicating with AGC, in-house and outside legal counsel, and Company representatives regarding contract processing, contract renewal and termination provisions, contract compliance requirements, and provide awareness of audit requirements. This position also assists the Legal Department, other Company representatives, and/or outside legal counsel in preparation of legal documents and coordination of document and record reviews or production, as necessary in litigation and/or investigations involving the Company and its subsidiaries and affiliates.
Primary tasks, duties, and responsibilities:
- Assist with the management of Company’s contract database system by uploading new and existing contracts to the database, tracking renewal and termination provisions, and coordinating master agreements with corresponding amendments, addenda, schedules, etc.
- Maintain contract database by coordinating receipt of new contracts, amendments and attachments to contracts, contract extensions and termination notices.
- Coordinate, collaborate and communicate with all departments regarding contract information and contract database functions, including notices to responsible parties regarding contracts set to expire and renew.
- Review, draft and negotiate contractual agreements using critical thinking and analytical skills, in-house or outside legal counsel guidance, Company’s templates and preferred terms and conditions.
- Proofread, edit and fact-check legal documents and contracts for accuracy and consistency, according to Company’s policies, procedures, and style guidelines.
- Coordinate additions and deletions of users in the contract database and preparation of reports concerning contract database.
- Collaborate with other departments and leaders to identify areas for continuous improvement of the contracting process, templates and/or contract reporting.
- Review, draft, negotiate and maintain in the contract database Business Associate Agreements and subsequent amendments.
- Input and manage data regarding physician employment agreements, leases, and other significant contracts to which Company or its related entities are a party.
- Provide support for new contracts and contract renewals with Company representatives and vendors and coordinate legal review with in-house counsel or outside legal counsel, as necessary.
- Review and analyze contract terms to ensure completeness and note any compliance requirements.
- Provide support related to contractual agreements for audits, document productions and due diligence projects.
- Maintain contract templates and prepare initial drafts of routine agreements and/or contract amendments for review by designated in-house counsel or outside legal counsel, as necessary.
- Manage contract approval and signature process per Company policy and AGC or CLO guidance.
- Assist with triaging requests for legal services and contract support.
- Perform other duties that may be assigned by AGC or CLO.
Physical Requirements:
While performing the duties of this job, the colleague is required to sit for long periods. Manual dexterity and visual acuity necessary to type using a computer keyboard, visually read information off a computer monitor and paper documents. Specific vision abilities of this position include vision and color vision. Requires ability to orally communicate information over the telephone and in person and hear responses.
Educational/Professional:
- Bachelor’s degree in related field.
- At least three years of experience in contract administration or related field.
- Prior healthcare experience preferred
- Paralegal certification is preferred.
- Proficiency in Microsoft Office Suite, Teams, and contract management software are essential.
- An equivalent combination of professional experience and education may be considered as meeting the Education/Professional requirements.

- Outstanding interpersonal communication skills needed to interact effectively in person, via video conferencing, or over the telephone.

- Proficient in DocuSign, Adobe Acrobat Pro, combining documents and creating final documents for electronic signature.
- Ability to manage and complete assignments with multiple parts and instructions, including special projects, as necessary.
- Ability to maintain confidentiality of all contract terms, data, procedures, records, forms, reports and any other sensitive information.
- Maintain excellent public relations in all written and oral communications with other colleagues and other people involved as the daily work responsibilities are performed.
- Attends meetings as required and participates on committees as requested.
- Willingness to work virtually or in an office setting.

Salary : $58,000 - $80,000
