Summary Of Position:
As a key member of a dynamic and fast-paced legal team, the Corporate Counsel will play a key role in providing essential legal support and ensuring compliance across critical business operations, contributing to the overall success of the organization. Reporting to the Senior Corporate Counsel, Corporate Counsel will be responsible for providing legal and strategic advice to the Company on a wide variety of corporate and transactional commercial matters. This position will include advise business stakeholders of contractual rights and obligations under existing licensing arrangements and supply agreements, as well as eview and negotiate commercial contracts. Corporate Counsel will join a fast-paced legal team in a pharmaceutical company and report to Innoviva Specialty Therapeutics’ (the “Company”) Senior Corporate Counsel.
Responsibilities:
Commercial Contracts
- Review, negotiate and finalize all Commercial Contracts across the organization, including distribution agreements, group purchasing agreements, research, development and collaboration agreements, master services agreements (and underlying statements of work), consulting agreements, material transfer agreements, nondisclosure agreements etc.
- Develop strong relationships with key business stakeholders to understand the business and contracting needs of the various departmental groups, including serving as the “go-to” strategic business partner for providing contracting guidance to all business teams.
- Assist in managing the queue of pending contract review requests, including providing regular updates of vendor contract deadlines, auto-renewals and projected expirations.
- Collaborate closely with Legal Contracts Manager to manage and maintain vendor contract database (“Coupa”), including providing Coupa reports upon request.
- With respect to material transactions involving assistance from outside counsel, you will be required to assist Senior Corporate Counsel with managing and monitoring spend and coordinating internal review and comment across IST’s internal functions in an urgent and coordinated manner.
General Legal Support
- Assist with review and negotiation of material contracts, including licensing arrangements and commercial supply agreements.
- Assist with other legal matters including, but not limited to: employment matters, litigation, management of intellectual property portfolio and prosecution efforts, SEC reporting and periodic filings, corporate governance; and compliance matters as needed.
- Provide Legal and other key stakeholders updates on recent developments relating to laws, regulations, and industry trends affecting the Company, including by identifying unmet needs and future legal issues, and proactively proposing strategies to optimize outcomes and results for the Company and those we serve, while managing risk.
- Coordinate with Senior Corporate Counsel to prepare annual budgets and ensure budget requirements are achieved.
Experience and Education:
Law degree from an ABA accredited law school and in good standing with the state bar of Massachusetts (or ability to gain licensure in Massachusetts).
- A minimum of four years of corporate or transactional legal experience at a law firm or in-house legal department
- Pharmaceutical/life sciences experience is required
- Experience drafting and negotiating biopharmaceutical licenses, development collaborations, and supply agreements is essential.
- Contract drafting and negotiating experience involving complex sourcing, supply and in-licensing agreements
- Strong understanding and knowledge of legal and compliance issues within the pharmaceutical industry
Skills and Abilities:
Highly organized and detail-oriented
- Proficiency with Microsoft Office suite, including Word, Excel and PowerPoint
- Strong communication skills (both oral and written) with an ability to communicate legal issues in a clear and understandable manner
- Ability to work independently as well as to build relationships across functions and fosters trust and confidence through effective communication and interpersonal skills
