About this position
We are looking for a Lead Officer Corporate Governance Officer, who will support the design and implementation of IDB Invest’s operations, ensuring that the financed projects and other activities are sustainable, comply with the IDB Invest’s policies, and internationally recognized best practices regarding corporate governance.
The corporate governance (CG) team works with investment officers and clients to define the steps necessary to improve corporate governance, addressing compliance gaps vis-à-vis international best practices, identifying opportunities to proactively add value and contribute to long-term development impact and sustainability. The Corporate Governance team focuses specifically on CG risks and opportunities, working with companies, Boards of Directors, and senior management, as well as engaging in market activities with the overall objective of improving governance and thereby enhancing sustainability.Corporate Governance Officers formulate recommendations and requirements for client action and incorporate these into applicable internal and client-related documentation to facilitate financing; monitor the Corporate Governance performance of operations in the IDB Invest portfolio; and work to mobilize technical support for clients to improve the governance outcomes of operations. Corporate Governance Officers work closely and coordinate with other organizational units of IDB Invest and the IDB, as needed, to accomplish these functions.
What you’ll do
- Oversee Corporate Governance Frameworks : Lead the implementation and continuous improvement of corporate governance practices at IDB Invest, ensuring alignment with institutional goals and market trends.
- Provide Strategic Governance Advice : Offer expert analysis and governance advice on high-impact projects, particularly those involving complex corporate structures, equity investments, and family-owned businesses.
- Develop Governance Guidelines : Propose and refine guidelines and processes to improve the governance of corporate governance (CG) action plans and monitoring tools.
- Contribute to ESG Discussions : Collaborate within the IDB Group to advance governance mechanisms for ESG frameworks and scorecards, promoting integrated approaches that align with sustainability goals.
- Advise Senior Management : Provide strategic insights and risk mitigation advice to Management, ensuring alignment of governance practices with IDB Invest’s broader institutional objectives, including IDB Invest 2.0.
- Engage in Committee Meetings : Participate in key management committees (IDMs, ICs, and PSC) to discuss CG strategies, portfolio supervision, and cross-functional initiatives.
- Lead Process Reengineering : Drive process reengineering and automation efforts within the ESG Division to enhance the efficiency and accuracy of corporate governance assessments.
- Mentor and Develop Team Members : Mentor junior staff and complementary workforce, fostering professional development and knowledge sharing within the team.
- Support Clients with Governance Plans : Work with clients to identify corporate governance risks and develop improvement plans to mitigate risks and enhance operational value.
- Deliver Training and Capacity Building : Provide internal and external capacity building on corporate governance topics through training sessions, presentations, and information-sharing schemes.
