We are excited about expanding our Legal Team! Ironclad is looking for a Senior Director, Corporate & Employment Legal with 12 years experience to manage our corporate and employment legal affairs pillar. This role would report to and work collaboratively with the General Counsel and senior leadership to provide guidance on corporate and employment related legal matters that align with our company culture and global business objectives. This role will have a key role in general corporate governance, transactional matters, securities, finance and stock administration matters and a broad range of employment and HR issues, including benefits, investigations, and employee relations issues. The role will work closely with Finance, Stock Administration, and People leadership.
Requirements & Responsibilities :
- Provide legal advice and practical, business-oriented solutions to ensure compliance with respect to matters arising under applicable securities laws.
- Support executive leadership team in governance requirements and best practices, including preparation of Board meeting agendas, pre-read materials, resolutions, minutes and post-meeting action items, including with respect to IPO readiness.
- Advise the company on governance requirements and best practices, including with respect to IPO readiness.
- Counsel on a range of corporate-related matters, such as executive compensation, equity plans, stock administration and related policies.
- Oversee corporate documents, filings and requirements for Ironclad’s expansion into international markets.
- Serve as the first point of contact for Ironclad’s People Team to develop and deliver creative solutions to complex employment issues that align with the company’s strategic goals and values.
- In partnership with the People Team, establish enterprise policies and processes that will govern the legal aspects of the employment life cycle, including recruitment, compensation matters, reorganizations, leave management and administration, policy governance, employee privacy and more.
- Act as a trusted advisor to senior leaders on employment law trends, workplace investigations, and complex personnel issues and collaborate with the People Team to develop strategic solutions that align business objectives with applicable employment laws and regulations.
- Develop and deliver training programs for managers and People Team members on employment law best practices.
- Public company corporate experience, including managing direct reporting, the company stock administration plan, and disclosures.

Base Salary Range : $260,000 - $320,000
The base salary range represents the minimum and maximum of the salary range for this position based at our San Francisco headquarters. The actual base salary offered for this position will depend on numerous factors, including individual proficiency, anticipated performance, and the location of the selected candidate.
