About the Firm:
JCW is partnered with a growing private equity firm seeking a highly skilled VP, Tax Counsel to join their legal and tax team. This individual will provide strategic tax advice, focusing on private equity (PE) and credit fund clients. The ideal candidate will have significant experience advising on complex tax matters, including fund structures, M&A transactions, and tax-efficient planning strategies for the firm’s investment activities. This role can be based in either their NYC or Miami office.
Key Responsibilities:
- Lead the tax planning and strategy efforts for the firm’s private equity and credit fund transactions, ensuring tax-efficient structures and compliance with U.S. and international tax laws.
- Advise on the tax implications of fund formations, restructurings, acquisitions, and divestitures.
- Collaborate with the deal teams, external advisors, and senior management on tax structuring, due diligence, and risk mitigation for investments.
- Provide expert guidance on partnership tax issues, including the taxation of carried interest and management fees.
- Support the development and implementation of tax-efficient strategies for global operations and cross-border investments.
Qualifications:
- JD with 7 years of relevant experience, ideally from a top-tier law firm and in-house within a private equity or credit fund environment.
- Deep expertise in partnership tax, private equity, credit funds, and investment-related tax issues.
- Experience advising on M&A transactions, fund formations, and complex financial instruments.
- Exceptional communication skills with the ability to explain complex tax issues to non-tax professionals.
- Admission to a state bar is required; LLM in taxation is a plus.
