This role focuses on private equity, mergers and acquisitions (M&A), and general transactional work. The position is fully remote, offering flexibility while providing the opportunity to work with a collaborative and accomplished legal team on sophisticated matters.

Job Details
Advise clients on private equity investments, portfolio company management, and exit strategies.
Draft and negotiate private equity-related agreements, including subscription and contribution agreements, equity purchase agreements, and partnership agreements.
Mergers & Acquisitions (M&A) Lead and support due diligence efforts, draft acquisition and merger agreements, and prepare ancillary documents.
Manage the transaction process, from initial structuring through closing.
Draft and negotiate a variety of corporate and commercial agreements, including service agreements, non-disclosure agreements, and vendor contracts.
Assist with entity formation, corporate restructuring, and general corporate governance matters.
East Coast location (EST) highly preferred
Juris Doctor (JD) from an accredited law school
Active bar membership in good standing (Pennsylvania preferred).
5-7 years of experience in private equity, M&A, and general transactional work at a law firm or in-house legal department.
Proficiency in drafting and negotiating complex agreements.
Strong organizational, analytical, and problem-solving skills.
Exceptional interpersonal and communication skills, with the ability to thrive in a remote environment.
