About The Role

We are seeking an experienced Senior Associate Attorney specializing in Securities and Capital Markets to join our dynamic and fast-paced legal team. This role requires a highly motivated individual with at least 6 years of relevant legal experience, providing high-level counsel and support to clients in capital market transactions, regulatory compliance, and securities-related matters. The Senior Associate Attorney will work closely with our partners and key stakeholders to manage complex legal issues in this area.

Key Responsibilities

• Advise clients on a broad range of securities and capital markets matters, including IPOs, debt and equity offerings, public and private placements, and SEC reporting and compliance.
• Draft, review, and negotiate offering memoranda, prospectuses, underwriting agreements, indentures, and other related securities documents.
• Provide legal guidance on regulatory requirements under the Securities Act, Securities Exchange Act, and other relevant financial regulations.
• Assist in managing and conducting due diligence processes for capital market transactions.
• Advise public companies on corporate governance matters, including compliance with stock exchange rules (NYSE, NASDAQ, etc.).
• Work with cross-functional teams to ensure seamless execution of transactions.
• Develop and maintain client relationships, ensuring legal solutions are tailored to client needs.
• Stay updated on changes in securities law, capital markets regulations, and industry trends to provide proactive legal advice.
• Mentor and provide guidance to junior associates and paralegals.
  
  

Qualifications And Requirements

• Juris Doctor (JD) from an accredited law school.
• Admission to the bar, ideally in NY.
• Minimum of 6 years of legal experience in securities and capital markets law at a top-tier law firm or corporate legal department.
• Strong experience with securities offerings, IPOs, and capital market transactions.
• Expertise in SEC reporting and compliance, including Regulation D, Section 13 and 16 filings, and Sarbanes-Oxley Act requirements.
• Excellent drafting, analytical, and negotiation skills.
• Ability to work independently and collaboratively within a team-oriented environment.
• Strong interpersonal skills with the ability to build and maintain client relationships.
• High attention to detail and the ability to manage multiple projects under tight deadlines.
  
  

Preferred Skills

• Experience advising clients on cross-border capital market transactions.
• Knowledge of FINRA rules and regulations.
• Exposure to financial services regulations, including Dodd-Frank.
