We are seeking a highly skilled Tax Attorney with Mergers & Acquisitions (M&A) experience to join our team. The ideal candidate will have a strong background in corporate tax law, advising on tax-efficient structures for transactions, conducting due diligence, and ensuring compliance with federal, state, and international tax regulations.
Key Responsibilities
- Provide tax structuring and planning advice for M&A transactions, joint ventures, and corporate reorganizations.
- Conduct tax due diligence and assess risks in acquisitions, divestitures, and restructurings.
- Advise on the tax implications of stock and asset purchases, cross-border transactions, and private equity investments.
- Work closely with corporate attorneys, accountants, and financial advisors to develop tax-efficient deal structures.
- Represent clients in front of the IRS and state tax authorities as needed.
- Monitor changes in tax laws and regulations affecting M&A transactions and provide proactive guidance to clients.
- Juris Doctor (JD) degree from an accredited law school.
- LL.M. in Taxation (preferred but not required).
- 3 years of tax law experience, with a focus on mergers and acquisitions.
- Strong knowledge of federal, state, and international tax laws related to corporate transactions.
- Experience working with private equity firms, venture capital, or corporate clients is a plus.
- Excellent analytical, research, and communication skills.
- Admission to the state bar in the jurisdiction of practice.
