Now is the perfect time to move your skills to the cloud.About This TeamThe growing M&A and Corporate Legal team at Cloud Software Group is responsible for the company's M&A, deal-related financing, divestitures, post-acquisition integration and transition services. In addition, this group is responsible for general corporate matters, including corporate governance, legal support for bank debt and capital markets financing, as well as global subsidiary management.Job DescriptionThis role is for a senior attorney with a broad array of experience across all areas of corporate law and M&A. This role will have broad exposure to a variety of legal matters and will be a trusted strategic advisor working closely across our corporate functions, from corporate strategy, corporate development, finance, tax and other legal stakeholders.There will be significant opportunity to impact and guide our legal processes and strategic objectives, and in addition to executing on our significant transactional work, will have a key role in building out and improving our existing legal processes across the entire scope of the group’s areas of responsibility.Duties and ResponsibilitiesLeading strategic transactions, advising on transaction structuring, coordinating due diligence efforts, negotiating transaction agreements and ancillary documents, overseeing and managing outside counsel and assisting with financing and integration matters;Working closely as a trusted strategic partner with key stakeholders through the entirety of a transaction, managing deal-related risks, refining deal strategy, post-acquisition integration progress and other high priority tasks;Driving continuous improvements and scalability in deal processes and execution, including developing internal M&A and divestment playbooks;Assist in overseeing the management of Cloud Software Group’s subsidiaries, including the corporate secretarial function for those subsidiaries, legal entity rationalization and maintaining effective delegations of authority and authorized signatories documentation;Assist with general corporate matters, including corporate governance, Board of Directors support and bank debt and capital markets financing;Manage legal budgets, including outside counsel fees and expenses related to all corporate matters.Required Experience / SkillsSignificant corporate law and M&A experience (i.e., 8 years) at a well regarded law firm (in-house experience a plus).Significant experience working with technology companies.Breadth of corporate law experience across governance, financing matters and everything in between.Additional ConsiderationsUnquestioned integrity, credibility and excellent (and practical) judgment.Excellent interpersonal, written and verbal communication skills.Comfortable challenging and being challenged.Ability to forge close working relationships throughout the company and with external stakeholders, including sponsor representatives, outside counsel and other professional advisors.High level of intellectual, professional and interpersonal agility and flexibility combined with strong analytical and problem-solving skills.Attention to detail and strong project management skills.Strong business acumen, entrepreneurial work ethic as well as a strategic and innovative mindset and good judgment.EducationJD or equivalent from a top tier law school.Currently qualified and admitted to practice law in CA, FL or other jurisdiction in the United States.Compensation may vary depending on your location, qualifications including job-related education, training, experience, licensure, and certification, that could result at a level outside of these ranges.
