Pay : Annual base salary for new hires in this position ranges from $119,000 to $205,850 USD. This takes into account a number of factors including work location, the candidate's skills, experience, education level & other job-related factors.
What you will do
The Senior Finance Manager M&A will support the Global Corporate Development team and external transactions which span all 3 segments (Self Care, Essential Health, and Skin Health) and all 4 regions (NA, EMEA, LATAM, and APAC). The position will be responsible for all aspects of the external transactions including financial and business analyses of acquisitions, external partnerships (i.e. licenses, equity investments, new ventures, divestitures etc.), deal structuring, contract negotiations, financial due diligence, EPS analyses, purchase price allocation, deal term accounting treatments, and capital structure impacts. The individual will also review all appropriate legal documents and required regulatory filings in support of specific transactions and provide support to post closing activities. A key part of the role will be leading the remaining separation scope which entails billing operations and "due to due from" with Johnson & Johnson ("J&J"), Interim Operating Model accounting and exits, financial indemnification negotiations, Non-GAAP consolidations and reporting. A Financial analyst based outside of the US will report to this position.
Key Responsibilities
- Collaborate with Marketing, R&D, and Corporate Development to identify and pursue new business opportunities and conduct financial and valuation analysis in support of Kenvue's strategy and future areas of growth.
- Prepare carve out financials when evaluating or executing divestitures in partnership with Finance, Controllership, and Tax.
- Lead remaining separation activities from J&J including legal entity exits, Transition Services Agreement ("TSA") activities and billing operations, lead for the Joint Finance Project Management Office with J&J, and support Director as the finance lead for separation governance.
- Present business cases to senior and executive leadership and prepare presentations for Kenvue Leadership Team and Board of Directors.
- Support acquisition outcomes by monitoring effectiveness through post-acquisition reviews and transitioning financial model to cross functional partners for a successful integration and post-acquisition performance.
- Work with external due diligence advisors, investment banks, valuation firms, auditors, and potential Buyers and Sellers to provide financial analysis and insight for external transactions.
- Maintain effective valuation tools, models, and governance processes for evaluating potential transactions.
- Manage and supervise analyst based outside the US who will be responsible for J&J TSA billing, consolidation and reporting of 1x cost, and M&A support.
