Position Overview

We are looking for an Attorney possessing transactional and corporate experience to serve as Assistant General Counsel located at our Omaha, Nebraska headquarters. In this role, you will provide advice and assistance to the Company and its various home office functional groups, including finance, accounting, internal audit, human resources, corporate compliance, real estate and insurance on a variety of business issues. The position will also support the corporate secretary and corporate governance function. Critical thinking, problem-solving and excellent judgment are key qualities to achieve success in this role. The position will initially report to the Group General Counsel, eventually reporting directly to General Counsel.

Location

This position is based in our Omaha Nebraska Headquarters. This is not a remote work option. We offer relocation assistance if outside of the area.

Responsibilities

  • Provide regular and ongoing legal advice with respect to corporate governance, government reporting, and general corporate matters
  • Maintain corporate books and records and preparing resolutions for board, committee and stockholder meetings, and updating committee charters and other corporate governance documents for the Company and its subsidiaries
  • Provide legal guidance on documents, as well as Structure, draft, and negotiate documents for various corporate and business transactions, including mergers, acquisitions, dispositions, financing and real estate transactions
  • Conduct due diligence on business transactions
  • Review, negotiate, draft, and analyze various types of Company contracts
  • Provide legal advice on the Company’s proprietary rights, including copyrights, trademarks and patents
  • Provide legal advice regarding securities law compliance for the Company and its subsidiaries, including drafting proxy statement and securities offering documentation and materials
  • Assist other members of the Legal Department with other legal needs of the Company as necessary
  • Direct and coordinate work with outside counsel as necessary
  • Draft joint venture agreements, consortiums, MOU’s, term sheets, and other service agreements and associated transactional documents.

Qualifications

  • Minimum of 5 years of corporate and transactional experience with a large law firm and/or in-house legal department.
  • Experience structuring, drafting, and negotiating a wide variety of commercial contracts.
  • Effective organizational skills and ability to prioritize and manage multiple time-sensitive projects simultaneously.
  • Pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks.
  • Strong work ethic and willingness to work in a fast-paced environment assuming responsibility for assignments and meeting project deadlines.
  • Excellent written and oral communications skills, with ability to synthesize complex legal issues to essential elements for internal clients.
  • Ability to handle multiple assignments simultaneously, with effective resolution of conflicting priorities.
  • J.D. and active attorney’s license.
  • Excellent communication skills with the ability to clearly and concisely express legal issues and analysis as it pertains to the business to executive management and colleagues.
  • Self-driven & resourceful to achieve goals independently as well as in groups. Must have excellent negotiation skills, presentation and meeting facilitation skills.
  • Flexibility to adjust and thrive in an environment with changing requirements, schedules, and priorities.
