ROLE SUMMARY
This role will serve as a Principal Contracts Administrator for a life sciences contract development and manufacturing organization. With significant changes in the marketplace, Kindeva is currently going through a period of substantial growth, and we are looking for talented individual to join our Legal team.
ROLE RESPONSIBILITIES
Responsibilities include drafting, negotiating and reviewing a wide range of contracts, including commercial development and manufacturing agreements; vendor/procurement contracts; sales/service agreements; and some operational agreements such as real estate leases, equipment purchase agreements, IT supplier and software licensing agreements, data privacy agreements, and other business contracts as required.
Deep knowledge of contracting terms relevant to a life science CDMO, including finance/accounting and procurement principles core to CDMO contracting; understanding various commercial considerations to provide creative agreement provisions to drive positive deal outcomes
This role will also perform ancillary matters related to contracts, including advising internal clients on contract interpretation and the legal ramifications of contract terms. Experience leading high stakes negotiations with a high degree of collaboration and the ability to develop a negotiation plan and strategy, escalate and acquire internal alignment on preferred positions and final positions, as well as listen to client positions while advocating Kindeva’s positions to find workable solutions in negotiations
Provide advice and guidance on managing agreement amendments, renewals, terminations, and on other potential agreement related issues. Collaborate with internal business development, procurement, supply chain and other commercial alliance managers on all day-to-day matters that arise in management of commercial partnerships.
Partner with the Associate General Counsel and General Counsel to support internal business development functions on their execution of strategic goals and solutions while ensuring internal alignment and using sound judgment to escalate matters as necessary.
Demonstrate a service-oriented approach to advising internal client groups and a full commitment to Kindeva’s mission and values.
Support other legal team priorities and projects in partnership with peers in the legal department as well as other key functions such as Regulatory, Compliance, and IP.
BASIC QUALIFICATIONS
Deep understanding of procurement strategies, procurement and supply change agreements and issues as well as a general understanding of the pharmaceutical/life sciences industry, including applicable legal and regulatory requirements related to the commercialization of pharmaceutical products.
Excellent interpersonal skills and ability to manage internal client expectations and build and maintain productive relationships across functions and with clients in multiple global time zones.
Excellent verbal and writing skills; creative and sound problem-solving and business judgment.
Ability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize work, and adjust to frequent workload fluctuations across multiple time zones
Willingness to travel and work extended hours, as needed.
Ability to work in a rapidly changing and diverse environment and comfort navigating through ambiguous situations
Commitment to promoting an ethical workplace culture and supporting compliance processes and programs
EDUCATION AND EXPERIENCE
Bachelor’s degree in a related field required. Law degree preferred however if the candidate has significant experience to independently handle commercial and procurement contracting and negotiation, a law degree is not required.
10 years of experience working with life sciences contract development and manufacturing organizations supporting contracting, licensing and/or transaction work, preferably supporting commercial and procurement/supply chain contracting.
Experience drafting complex transactional agreements (e.g., asset purchase, licensing, and distribution agreements, and major manufacturing and supply agreements and SOWs).

Salary : $130,000 - $170,000
