Korn Ferry is conducting a search for a Senior Vice President, Counsel & Corporate Secretary for Chain Bridge Bancorp, Inc., a publicly traded Delaware corporation and the holding company for Chain Bridge Bank, N.A., a nationally chartered bank with full trust powers. Founded by former U.S. Senator Peter G. Fitzgerald, Chain Bridge is known for its exceptional banking and trust services, particularly serving Republican political campaigns, PACs, and other politically affiliated organizations. Chain Bridge emphasizes liquidity, asset quality, and financial strength, offering a full range of commercial and personal banking services. Chain Bridge’s office is in McLean VA, however, remote candidates will be considered (some travel will be required).
The successful candidate will play a pivotal role in preserving our client’s exacting standards for compliance and corporate governance, working closely with the Board of Directors and senior management. This role offers the potential for General Counsel designation based on the candidate’s credentials.
Key Responsibilities:
- Advise senior management and the Board on securities law disclosures, compliance, corporate governance, and shareholder engagement.
- Oversee the preparation and filing of reports, including Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, proxy statements, and Section 16 filings.
- Provide legal support to the Board and Board Committees, including developing meeting agendas, preparing materials, and drafting minutes and resolutions.
- Facilitate the preparation of annual meeting materials and coordinate the Annual Meeting of Stockholders.
- Provide securities law advice for earnings releases, investor materials, and other communications.
- Advise on executive compensation matters and other legal issues across the Company and Bank.
- Review and negotiate corporate agreements and assist with drafting policies and procedures.
- Monitor corporate governance trends, securities laws, and banking regulations, providing proactive guidance.
- Manage relationships with outside counsel.
Qualifications:
- Juris Doctor (J.D.) from a top-tier law school.
- Minimum five years of relevant corporate and securities law experience at a top law firm, inhouse legal department, and/or the SEC.
- Active bar membership in good standing (Virginia preferred).
- Comprehensive knowledge of federal securities laws and corporate governance requirements.
- Experience supporting boards of directors and senior management.
- Excellent writing, negotiation, and analytical skills.
- Proficiency in AI and technology tools to enhance productivity.
- Intellectual curiosity and commitment to continuous professional development.
Preferred Qualifications:
- Familiarity with federal banking laws and experience with the SEC.
- Knowledge of Federal Election Commission regulations and campaign finance laws.
- Experience with public disclosures for a NYSE-listed company.
- Background as outside or in-house counsel for a bank holding company.
Compensation and Benefits:
- Competitive salary, with an expected range of $280K-$325K
