What are the responsibilities and job description for the Finance Attorney position at Kosmos?
National Law firm has a need for a Finance Attorney. This is an exciting opportunity to work on a wide range of matters related to disclosure obligations under federal securities laws, compliance with listing standards, interactions with the SEC, and corporate governance needs.
What Your Day May Look Like:
- Advise public company clients on their day-to-day disclosure obligations under federal securities laws.
- Assist clients in complying with applicable listing standards of major U.S. exchanges.
- Provide advice on executive and director compensation and related disclosures.
- Work on capital markets transactions, including primary and secondary equity offerings, high-yield debt offerings, and M&A transactions.
- Collaborate with the team on joint ventures, capital markets offerings, and other transactions.
- Stay informed on developments in securities laws, corporate governance, and executive compensation, advising clients on strategic trends.
- Assist clients with risk mitigation efforts and provide preparatory services for corporate governance and compliance.
Qualifications:
- JD from an ABA-accredited law school.
- At least 2-5 years of experience in advisory work.
- Understanding of executive and director compensation and related disclosures.
- Experience in offering work, such as equity offerings, high-yield debt offerings, and M&A is a plus.
- Strong communication and client management skills.
- Ability to work collaboratively in a team environment and across various industries.
