Senior Legal Counsel (New York, NY): Our client, a publicly traded REIT is looking to hire a Senior Counsel. This is a newly created role that will work closely with the leadership team across all corporate matters. This is an opportunity to join a growing firm, gain exposure to senior management, and be the primary attorney directing the day to day.
Key points:
- Position is open due to their continued growth and complexity
- This hire will report to the CFO of the public company, but have a dotted line into the GC of the external manager that runs the fund
- It’s a newly created opening, allowing this person to leave their mark on the business
- Exposure to areas including IP, commercial agreements, managing M&A transactions, corporate governance, and other general corporate matters
- WFH policy: 3 days in the office and 2 days from home
Responsibilities:
- Managing M&A transaction and diligence activity in conjunction with outside counsel.
- Managing legal framework, working closely with leadership.
- Overseeing processes in respective of filings and disclosure for publicly listed company.
- Drafting and negotiating commercial agreements with counterparties, vendors, and service providers.
- Providing ongoing counsel on intellectual property, trademarks, data protection and security, labor and employment, and general corporate matters.
- Providing ongoing counsel on regulatory compliance matters, including with respect to the ’34 Act
- Responding to, and providing advice on, company litigation.
- Assisting with documentation of company governance matters and legal entity maintenance.
- Assisting the Firm in the creation and maintenance of policies and procedures; and
- Managing external counsel.
Qualifications and Education Requirements
- A minimum of 6 years practicing in a law firm, preferably in a corporate practice;
- Experience counseling public companies;
- Strong organizational skills and ability to manage multiple time sensitive matters in a demanding, fast-paced and fluid environment;
- A business and solution-oriented approach to interacting and working with clients; and
- Excellent oral and written communication and presentation skills.
Salary : $200,000 - $300,000
