Key Responsibilities
- Fund Formation
Advise on and manage the legal structuring, formation, and maintenance of investment funds, including drafting and negotiating fund offering documents and related agreements.
Provide legal guidance on transactional activities, including M&A, joint ventures, and strategic partnerships involving the firm and its portfolio companies.
Collaborate with compliance teams to ensure adherence to SEC regulations and other applicable laws governing hedge funds and investment management entities.
Advise on governance matters, draft board resolutions, and assist with the oversight of fund and management company governance structures.
Draft, review, and negotiate a variety of contracts, including service agreements, side letters, and other fund-related agreements.
Identify and mitigate legal risks associated with the firm's operations and transactions.
Qualifications
3-7 years of relevant legal experience in fund formation, investment management, and transactional law.
J.D. from a top-tier law school and active membership in at least one state bar.
