About the Role:
We are seeking a highly skilled Corporate attorney with a strong background in representing startups, growth-stage companies, and investors in venture capital transactions. This role involves guiding clients through the full lifecycle of corporate transactions, including financings, M&A, and general corporate governance. The ideal candidate will be passionate about working with entrepreneurs, investors, and high-growth businesses in dynamic industries such as technology, life sciences, and fintech.
Key Responsibilities:
- Advise founders and emerging companies on formation, corporate structuring, and governance matters.
- Represent investors and companies in venture capital financings, including SAFE, convertible notes, and preferred stock financings.
- Lead negotiations, draft term sheets, and manage closing processes for investment rounds.
- Provide strategic guidance on equity compensation, including stock option plans and incentive structures.
- Counsel clients on commercial contracts, regulatory considerations, and operational risks.
- Support clients in mergers, acquisitions, and exit transactions.
Qualifications:
- J.D. from an accredited law school and active bar membership in Georgia.
- 2-6 years of experience working with emerging companies and venture capital transactions.
- Strong understanding of venture financing structures and corporate governance principles.
- Excellent drafting, negotiation, and communication skills.
- Ability to manage multiple transactions in a fast-paced environment and work directly with founders, executives, and investors.
Salary : $235,000 - $365,000
