Job Summary :
The Business Litigation Associate will work closely with senior attorneys in handling a wide variety of business disputes, including breach of contract, breach of fiduciary duty, fraud, shareholder disputes, corporate dissolution, dissenter’s rights, shareholder derivative actions, unfair competition, trade dress, and soft intellectual property matters. The ideal candidate should have experience in these areas or a strong willingness to learn and grow in these specialized fields. Key Responsibilities :
- Manage a diverse caseload of business litigation matters, including breach of contract, breach of fiduciary duty, fraud, shareholder disputes, corporate dissolution, dissenter’s rights, and shareholder derivative actions.
- Handle cases involving unfair competition, trade dress disputes, and soft intellectual property matters (including trademark and trade secret litigation).
- Draft and file legal documents such as complaints, motions, discovery requests, and responses.
- Conduct thorough legal research and provide analysis on complex commercial and corporate litigation issues.
- Prepare and argue motions in court, including dispositive motions, discovery motions, and pretrial motions.
- Represent clients in depositions, mediations, and arbitrations, as well as at hearings and trials as necessary.
- Work collaboratively with clients, expert witnesses, and colleagues to develop effective case strategies.
- Assist with settlement negotiations and explore alternative dispute resolution methods where appropriate.
- Keep clients informed on the status of their cases and provide regular updates on key developments.
- Maintain organized case files and manage deadlines efficiently.
- Stay current on developments in business law, intellectual property, and litigation strategies.
