A unique journey awaits you at Lectra, are you ready to craft the future of technology together?Manage and oversee all documents to ensure compliance with company rules and guidelines as well as local statutory authorities. Prepare or review agreements to facilitate business operations.KEY RESPONSIBILITIES : Contract review : Provide legal counsel to Lectra Americas region by advising corporate executives on a broad array of commercial deals. Support sales team on sell-side transactions, software licensing, professional services, equipment maintenance, and SaaS agreements. Negotiate distribution, consignment, and collaboration agreements. Support R&D, marketing, and sourcing teams, including for lease agreements.General (corporate / compliance / others) : Coordinate with HQ and support on corporate and compliance requests from the local team; select and manage outside counsel.Corporate : Monitor state qualifications, maintain companies in good standing with designated jurisdictions; legal entity restructuring; hold annual meetings for subsidiary companies; maintain corporate minute books; hold / draft special meetings; oversee annual report filing service and registered agent service.Litigation : Manage and coordinate litigation cases with the support of external counsel.Data compliance : Follow up internally and externally on data protection projects.Intellectual Property : Support trademark and patent matters where required.PROFILE : JD in LawLegal Professional Qualification Certificate15 years of working experience in either law firms or in-house multinational trading organizationsGeneral experience in supporting commercial contractsAbility to handle multiple tasks and prioritize jobsAdaptable, open-minded, dynamic, and a team playerExcellent interpersonal skillsTRAVEL : The job is based in Atlanta with limited travels.
