Job Description
The Corporate Paralegal will be responsible for all aspects of support for The Corporate
Secretary function in the U.S., including various general corporate, corporate governance and
transactional matters, as well as other assigned areas including periodic international support. Position
will interact with all levels of management within the Company as well as with outside professionals.
Candidate must be able to work in a team environment.
Essential Functions

Associate or Bachelor’s Degree in Paralegal Studies or similar discipline or five or more years of ,
including work experience.
Experience
Five or more years of experience as a corporate paralegal with specific experience or knowledge in the
formation and management of corporate entities and related record keeping.
At least two years’ experience in loading, maintaining and administering a subsidiary management
database.
Preferred Skills/Qualifications
Proficiency in formation of business entities, including preparation of articles of incorporation,
bylaws, organizational minutes, consents, stock certificates, filing of certificates of incorporation
and registrations of foreign corporations.
Must have a strong understanding of how corporations work, including ownership, officers and
directors and subsidiary structure.
Ability to respond to outside counsel requests for information and to coordinate internal
processes.
Ability to prepare and maintain corporate records and related correspondence.
General knowledge of corporate law and experience in dealing with the Corporate desks in the
offices of the various Secretaries of State.
Ability to work with Tax Department to qualify and withdraw registrations from states and to
make annual report and franchise tax filings which may also include tax clearance matters.

- Maintaining, supervising and administering subsidiary management database;
- Intensive interaction with domestic service companies in order to ensure that documentation is

- Drafting of materials (e.g., resolutions and supporting documentation) for Board of Directors
- Coordinating due diligence for major projects (e.g., financings, acquisitions, and divestitures);
- Regular interaction with international service companies and outside law firms in order to

- Responding to inquiries from internal and outside personnel regarding the above matters;
- Supporting KYC inquiries;
- Supporting other business functions;
- Proactively monitoring lists of directors and officers;
- Other duties and special projects as assigned.
