Qualifications
A leading international law firm, has helped shape the legal landscape since its founding in 1866. They are currently seeking an Associate to join them in their New York, New York office.
Responsibilities:
- Advise aviation sector clients regarding mergers & acquisitions (M&A), as well as aircraft lease-backed securitizations for capital markets issuances and bank private placements
- Practice cross-border aircraft finance law, including drafting, reviewing and negotiating commitment papers, financing agreements, security documents, credit agreements and related documents
- Lead leveraged financing transactions utilizing knowledge of Uniform Commercial Code (UCC), multi-currency borrowings, multi-jurisdictional borrowings, and related secured transaction laws with a specific focus on the international airplane, helicopter and shipping leasing sectors
- Work on inbound and outbound corporate transactions and advise clients on issues arising with structuring finance deals in the U.S. and abroad
- Conduct due diligence exercises, organize deal closings, and execute commitment papers and credit agreements
- Organize closing rooms and manage coordination of transaction closing processes
- Advise clients on cross-border financings and aircraft security takings in accordance with the Cape Town Treaty
- Work on export credit-supported aircraft financing transactions involving Export-Import Bank of the United States, the European Export Credit Agencies, Export Development Canada and the Brazilian Development Bank
- Liaise with local counsel in a variety of jurisdictions on aspects of cross-border financings and taking security over aircraft and other moveable property in foreign jurisdictions
- Develop client relationships with front-facing meetings and network with existing and prospective law firm clients
Qualifications:
- JD, LLM or foreign equivalent
- Four years of related legal experience
Two years of experience must include:
