Job Description
We are seeking an experienced Technology Transactions lawyer to join a Corporate Transaction Support Team in a Global Services Center in Lexington, Ky.
The firm launched its Global Services Center in 2013 as part of a transformation initiative to enhance the performance of the Firm’s administrative operations. The firm currently have approximately 180 employees working at the Global Services Center. The firm is now taking the next step and developing a team of lawyers to work with several of their transactional practice groups. These are full-time positions; The expectation is to provide their lawyers at the Global Services Center with a great career opportunity to grow, develop great skills and take on significant responsibility while receiving excellent guidance, training and support.
The lawyer that is hired for this position will work as part of our Corporate Practice Group and Technology Transactions practice. We expect this lawyer would be experienced in many of the following areas:
- Licensing
- Technology acquisitions
- Participating in IP due diligence teams in M&A transactions
- IP support on M&A, lending and investment transactions
- Joint Development Agreements
- Transition Services Agreements
- Commercial Contracts, including Development Agreements, Referral Agreements and Sales Agreements
- Software Licenses and any Software-related Agreements
- Consulting about Open Source and Software issues
- Privacy issues generally and any privacy related topics
- Outsourcing
The Corporate Practice Group operates a general corporate practice nationally and internationally with a heavy concentration in the areas of mergers and acquisitions, private equity, private and public securities and capital markets transactions, joint ventures, emerging company work and general corporate representation of public and private companies. Their clients range from dozens of early and later stage technology start-ups to small and mid-cap public companies to Fortune 100 companies, and a variety of private equity, venture capital and hedge funds and other capital sources.
Qualifications
We are seeking an experienced lawyer who shares a commitment to excellence, drive, and teamwork. Successful applicants will preferably have 5 years experience in a law firm or corporate setting. Applicants must be admitted in Kentucky or able to become admitted within one year.
