LHH Recruitment Solutions is excited to partner with a leading legal team in Miami, FL to find a talented Corporate Paralegal. This is an excellent opportunity for a highly organized and experienced paralegal with a background in corporate law to advance their career.
Key Responsibilities:
Draft, review, and file various corporate documents such as contracts, corporate formation documents, and SEC filings.
Maintain and organize corporate records in compliance with applicable local, state, and federal regulations.
Conduct legal research on corporate governance, mergers & acquisitions, and other corporate matters.
Prepare corporate resolutions, meeting minutes, and other documents for board meetings.
Support attorneys with transactional matters and due diligence processes in corporate transactions.
Organize and manage both electronic and physical filing systems.
Liaise with internal teams and external stakeholders to ensure smooth operations.
Qualifications:
3-5 years of experience as a corporate paralegal, ideally within a law firm or corporate in-house environment.
Strong knowledge of corporate law, governance, mergers & acquisitions, and general corporate transactions.
Proficiency in Microsoft Office Suite and legal research tools.
Exceptional organizational, communication, and problem-solving abilities.
Capacity to handle sensitive and confidential information with professionalism.
Paralegal certification or equivalent training is preferred.
