Lifepoint Health has an opportunity for a Director, Corporate Governance - Remote. The Director, Corporate Governance works under the direction of the Assistant Vice President, Corporate Governance and Assistant Corporate Secretary (the “AVP”) to provide legal support for Lifepoint (the “Company”) subsidiaries, including management of joint venture corporate governance obligations, drafting and maintaining intercompany agreements for all Lifepoint subsidiaries, and other actions required for the operation of the subsidiaries. The individual will also work with the Vice President, Managing Counsel and Corporate Secretary on certain initiatives, including ESG and innovation.
In this role, the individual exercises independent responsibility in identifying the legal requirements of corporate entities and performing those activities which ensure compliance with such requirements. The duties of this position are necessary to ensure that the Company maintains compliance with state laws and regulations governing corporate structure and formation as well as the governance documents relating to its joint venture subsidiaries.

ESSENTIAL FUNCTIONS:
- Develop, implement and maintain process improvements, and manage the corporate books and records of the Company’s wholly-owned and joint venture subsidiaries efficiently and cost-effectively, including developing and providing periodic training to facility leadership regarding joint venture corporate governance obligations.
- Manage systems for maintenance of regulatory and licensure filings, including providing systems training to facility personnel, overseeing facility personnel’s maintenance of applicable licenses, and working with the Company’s development team and outside counsel to establish new licensure when needed.
- Maintain facility-level entity organizational charts and subsidiary information list.
- Prepare and maintain all intercompany agreements on behalf of the Company’s subsidiaries.
- Oversee registered agent’s timely completion and filing of annual reports.
- Obtain foreign qualifications and DBAs on an as-needed basis, and oversee periodic renewal process.
- Assist with developing the Company’s ESG program and preparing reports and other communications, including project management as needed.
- Assist with transactions and other matters in connection with the Company’s innovation strategy.
- Maintain and manage intellectual property portfolio, primarily consisting of trademarks.
- Work collaboratively with all team members, including the Executive Vice President, General Counsel, the Vice President, Managing Counsel, Corporate Secretary, and the AVP, on special projects as needed

KNOWLEDGE, SKILLS, and ABILITIES:
Education: Bachelor’s degree required, paralegal certificate preferred
Experience: 5-8 years in legal and/or healthcare setting
