What are the responsibilities and job description for the Counsel (Venture Capital, Cap markets, M&A) position at Long Ridge Partners?
Our client is an established NYC fund with $10B AUM of investor capital. Working directly with the Chief Counsel, you would contribute to and/or be responsible for the following areas:
- Investment Process: Structure a variety of deals and complex transactions (EC/VC on the investor side and company side, IPOs, SPAC, PIPEs, financing and venture capital investments. A great variety of public and private markets investment experience will be highly valuable for this counsel role.
- Offering Documentation: Partake with preparing SEC materials related to those investments.
- General Corporate: Draft, review and negotiate contracts related to all aspects of the business (e.g., licensing agreements, vendor agreements, NDAs)
Requirements:
- 3-8 YOE professional experience at a top-tier law firm and/or in-house experience at an investment management firm. Life sciences experience will be prioritized.
- JD from a Top Law (T10 preferred), BigLaw experience at a top-tier EC/VC or Transactional practice group.
- Admitted to Practice in the State of New York or eligible to waive in.
Salary : $220,000 - $250,000
