The Paralegal position requires excellent organization and communication skills, working at all levels of the company. This position requires basic contract preparation and negotiation skills, as well as maintenance of a contracts database. The ideal candidate is self-motivated and able to make complex decisions while understanding when to seek advice from their supervising attorney.
Key Responsibilities:
- Responsible for preparing all standard Non-Disclosure Agreements (NDAs)
- Understand how NDAs help protect trade secrets
- Prepare outgoing NDAs based on Lummus’ standards
- Review third party modifications
- While Lummus attorneys will advise and oversee as needed, there is an expectation for the paralegal to be comfortable with basic negotiation of standard terms in accordance with the guidelines set by Lummus attorneys
- Finalize and approve for signature
- Review third party NDAs
- Identify compliance with Lummus’ requirements
- Negotiate standard terms in accordance with guidelines set by Lummus attorneys and/or assist Lummus attorneys in the negotiation
- Finalize and approve for signature
- Assist Lummus attorneys in the preparation/negotiation/finalization of non-standard NDAs
- Responsible for assisting with compliance screenings of third parties and related third party due diligence
Future Responsibilities/Accountabilities may include:
- Assist with management of contract lifecycle management (CLM) system
- Responsible for preparing certain standard contracts, including vendor/supplier contracts, based upon pre-approved business terms and assisting Lummus attorneys, as needed, in the negotiation and finalization of the agreements.
- Have (or be genuinely willing to learn) and apply to contract preparation/negotiation a basic understanding of Intellectual Property issues. For example:
- What can and cannot be granted to Licensees
- What Licensees can and cannot own
- Maintain and update Lummus’ “standard agreements” as needed
- Responsible for maintaining the contracts database by:
- Filing signed agreements (electronically and originals)
- Upkeep of alphabetic project list
- Go-to person for locating old agreements
- Assist Lummus attorneys to support legal matters including working with external compliance, litigation, and labor and employment counsel, third party administrators, and insurance brokers
- Assist in managing employee hotline and incident management application including triage of reported incidents, updating cases, preparing management reports
Basic Qualifications:
- Associate’s degree in paralegal studies
- At least 3-5 years’ employment as a paralegal in a similar position
- Notary Public in the State of Texas, or willing to become one
Desirable (But Not Required) Experience/Skills
- Experience in management of corporate entities/books. For example:
- Maintaining database of company formation/incorporation/registration documents and ownership/management data
- Knowledge of how to work with different jurisdictions to maintain corporate status
- Knowledge of standard documents for new entity formation/incorporation
- Maintaining Board/Management Resolutions
- Maintaining corporate stamps/seals
- Experience in renewing Professional Engineering Licenses
- Intermediate Excel skills - vLookup/xLookup, Pivot tables, Power Query, basic formulas, etc.
- Familiarity with SharePoint/Teams
